Terms and Conditions for Next Wave PVPulse Platform

Welcome to the Next Wave PVPulse Platform (the “Platform”), operated by Next Wave Energy Monitoring, Inc. (“Next Wave,” “we,” “us,” or “our”),
located at 1946 Kellogg Ave, Carlsbad, CA 92008, United States. By accessing or using our website at https://nextwavemonitoring.com/ or the Platform,
you (“User” or “you”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree with these Terms, you must not use the Platform.

1. Acceptance of Terms

By accessing or using the Platform, you confirm that you are at least 18 years old and have the legal capacity to enter into these Terms. These Terms
constitute a legally binding agreement between you and Next Wave. We may update these Terms from time to time, and the updated version will be
effective upon posting on the Platform. Your continued use of the Platform after such changes constitutes your acceptance of the revised Terms.

2. Use of the Platform

2.1 Account Creation

To access certain features of the Platform, you may be required to create an account. You agree to provide accurate, current, and complete information
during the registration process and to keep your account information updated. You are responsible for maintaining- ing the confidentiality of your account
credentials and for all activities that occur under your account. Notify us immediately at info@nwemon.com if you suspect unauthorized use of your
account.

2.2 Restrictions

You agree not to:

Use the Platform for any unlawful or unauthorized purpose.
Attempt to gain unauthorized access to any part of the Platform or its systems.
Reverse engineer, decompile, or disassemble any part of the Platform.
Use the Platform in a way that could damage, disable, or impair our servers or networks.

2.3 No User-Generated Content

The Platform does not permit Users to create or upload content. All content on the Platform, including but not limited to logos, visual designs, text, and
trademarks, is the exclusive property of Next Wave Energy Monitoring, Inc.

3. Subscription Plans and Free Trials

3.1 Subscription Plans

Next Wave offers subscription plans for access to the Platform’s features. Details of the subscription plans, including pricing and features, are available on
the Platform. By subscribing, you agree to pay the applicable fees and comply with the subscription terms provided at the time of purchase.

3.2 Free Trials

Next Wave may offer free trials for the Platform on a case-by-case basis. Eligibility for a free trial is at Next Wave’s sole discretion. Free trials may be
subject to additional terms, which will be communicated to you at the time of the trial offer.

3.3 No Sale of Goods or Services

The Platform does not facilitate the purchase of physical goods, items, or services. All offerings are limited to subscription-based access to the Platform’s
features.

4. Intellectual Property

All content on the Platform, including but not limited to logos, visual designs, trademarks, text, graphics, software, and other materials (“Content”), is the
exclusive property of Next Wave Energy Monitoring, Inc. or its licensors. You may not copy, reproduce, distribute, modify, or create derivative works from
the Content without our prior written consent. Unauthorized use of the Content may violate copyright, trademark, and other applicable laws.

5. Feedback and Suggestions

If you provide feedback, suggestions, or ideas regarding the Platform (“Feedback”), you grant Next Wave an unrestricted, worldwide, royalty-free,
irrevocable license to use, modify, and implement such Feedback without any obligation to compensate or credit you.

6. No Promotions, Contests, or Sweepstakes

Next Wave does not offer promotions, contests, or sweepstakes through the Platform.

7. Termination

We may suspend or terminate your access to the Platform at our sole discretion, with or without notice, if you violate these Terms or for any other reason.
Upon termination, your account and right to use the Platform will cease immediately. You may terminate your account by contacting us at
info@nwemon.com.

8. Limitation of Liability

To the fullest extent permitted by law, Next Wave Energy Monitoring, Inc., its affiliates, officers, directors, employees, and agents will not be liable for any
indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Platform. Our total liability for any claim arising
under these Terms will not exceed the amount paid by you for the subscription plan in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify and hold harmless Next Wave Energy Monitoring, Inc., its affiliates, officers, directors, employees, and agents from any claims,
liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform or violation of these Terms.

10. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of California, United States, without regard to its conflict of law principles. Any disputes arising under
these Terms will be resolved in the state or federal courts located in San Diego County, California. You agree to submit to the jurisdiction of these courts.

12. Miscellaneous

Entire Agreement: These Terms constitute the entire agreement between you and Next Wave regarding the use of the Platform.
Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and
effect.
Waiver: No waiver of any provision of these Terms will be deemed a further or continuing waiver of such provision or any other provision.
